These Terms of Use constitute the entire and the only agreement between Synel and you for the use of this site, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings regarding the site, including the content and services provided by the site. DESCRIPTION OF SERVICES
Synel provides you with access to various resources including product information, general information, communication forums, and download areas, as well as services provided through the restricted zone that is designated to defined users in accordance with Synel’s policy (collectively “Services”).
The services, including any updates, and/or the addition of any new website properties, are subject to the Terms of Use.

All materials displayed or otherwise accessible through the site, including without limitation, text, logos, graphics, photographs, images, and illustrations (collectively “content“) are protected under applicable copyright, trademark and other proprietary and intellectual property laws or other laws. You acknowledge that the content is and shall remain the sole property of Synel or its respective owners, as indicated, or as the case may be. In addition, the site is protected under copyright law as a collective work and/or compilation pursuant to foreign laws. LIMITED RIGHT TO USE
Notwithstanding the foregoing, and subject to the Terms and Use, you are hereby granted the right to access view and use the site for your personal, non-commercial use.
NON-TRANSFERABILITY AND PASSWORDS
Your right to use the site is not transferable. Synel reserves the right in its sole discretion to edit or delete any documents, information, forms or other content appearing on the Site.

You agree to indemnify, defend and hold Synel and its officials, employees, agents and representatives harmless from any liability, loss, claim and expense, including reasonable lawyer’s fees, related to your violation of the agreement or use of the site.

SYNEL DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS REGARDING THE SITE INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO MERCHANT ABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OPERATIONS, NON-INFRINGEMENT, USEFULNESS, COMPLETENESS, ACCURACY AND RELIABILITY. Synel is not responsible for and will not be liable to you or anyone else for any damages whatsoever, including any indirect, special, incidental or consequential damages, arising out of or in connection with your use, or inability to use, the site, even if Synel has been advised of the possibility of such damages.
The information, software, products and descriptions of services published on the site or a linked site may include inaccuracies or typographical errors. Synel specifically disclaims any liability for such inaccuracies or errors. Synel does not warrant or represent that the content on the site is complete or up-to-date. Synel is under no obligation to update any content on the site. You agree that Synel, its affiliates and any of their respective officers, directors, employees, or agents will not be liable, whether in contract, tort, strict liability or otherwise, for any indirect, punitive, special, consequential, incidental or indirect damages (including without limitation lost profits, cost of procuring substitute service or lost opportunity) arising out of or in connection with the use of the site or a linked site, or with the delay or inability to use the site or a linked site. All content, products, and services on the site, or obtained from a website from which the site is linked (a “linked site”) are provided to you “as is” without warranty of any kind either express or implied including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security or accuracy. Under no circumstance, Synel will not be liable for any loss or damage caused by a user’s reliance on information obtained through the site or linked sites, or a user’s reliance on any product or service obtained from this site in a linked site. Data Protection Registration
DATA PROTECTION and GDPR
1.1 Synel UK agree that, in the performance of its obligations and while processing/ controlling any personal information, it shall comply with the provisions of the Data Protection Act 1998 (1998 Act) and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (GDPR) to the extent that such applies to each of them.
1.2 Synel UK is registered with the ICO under the Data Protection Register
1.3 For the purpose of this clause ‘data controller’, ‘data processor’, ‘data subject’, ‘Information Commissioner’, ‘personal data’ and ‘processing’ shall have the meanings given to them in the 1998 Act or the GDPR, whichever is applicable.
1.4 For any contractual engagement, The parties agree that the Customer is the data controller respecting any personal data that Synel UK processes in the course of providing services for the Customer (other than business contact data processed by Synel UK to allow it to manage the Customer’s account, in which case Synel UK shall be the data controller), and that Synel UK is the data processor.
1.5 Accordingly, Synel UK confirms that it shall:
1.5.1 only carry out processing of the Customer’s personal data on the Customer’s instructions occasionally, such instructions at the date of this Agreement are to process the personal data to provide the Service and to enable the operation of the Software Services by Users as part of their normal use of the Software Services, and always in accordance with the Suppliers obligations under the 1998 Act and the GDPR;
1.5.2 implement appropriate technical and organisational measures to protect personal data against unauthorised or unlawful processing and accidental destruction or loss, to allow the Customer to comply with its obligations under the 1988 Act and the GDPR, as applicable;
1.5.3 as soon as reasonably practicable refer to the Customer any requests, notices or other communication from data subjects, the Information Commissioner or any other law enforcement authority, for the Customer to resolve;
1.5.4 notify the Customer if the 1988 Act or the GDPR requires the Supplier to process personal data otherwise than in accordance with the Customer’s instructions (unless the applicable law prohibits such information on important grounds of public interest)
1.5.5 in respect of any personal data breach, without undue delay, notify the Customer of the breach and provide the Customer with details of such breach;
1.5.6 at the Customer’s written request, either delete or return all the Customer’s personal data to the Customer in such form as the Customer reasonably requests within a reasonable time after the
earlier of; (i) the end of the provision of the Software Services related to processing, or (ii) once processing by the Supplier of the Customer’s personal data is no longer required for the purpose of the Supplier’s performance of its relevant obligations under this Agreement, following which Supplier shall delete existing copies (unless storage of any data is required by the 1988 Act or the GDPR and, if so, the Supplier shall inform the Customer of any such requirement);
1.5.7 promptly inform the Customer if the Supplier becomes aware of any processing instruction that, in the Supplier’s opinion, infringes the 1988 Act and the GDPR.
1.6 The Customer warrants, represents and undertakes, that:
1.6.1 all data sourced by the Customer for use in connection with the Software Services shall comply in all respects, including in terms of its collection, storage and processing (which shall include the Customer providing all the required fair processing information to, and obtaining all necessary consents from, data subjects), with the 1988 Act and the GDPR; and
1.6.2 all instructions given by it to the Supplier respecting personal data shall at all times be in accordance with the 1988 Act and the GDPR.
1.7 Synel UK shall:
1.7.1 not permit any processing of personal data by any agent, subcontractor or other third party (except its or its subcontractor’s own employees in the course of their employment that are subject to an enforceable obligation of confidence regarding any personal data) without the written authorisation of the Customer (which shall be deemed given as regards current subcontractors at the Commencement Date);
1.7.2 prior to the relevant subcontractor carrying out any processing activities respecting any personal data, appoint each subcontractor under a written contract containing materially the same obligations as under this clause that is enforceable by the Supplier and ensure each such subcontractor complies with all such obligations;
1.7.3 remain fully liable to the Customer under a commercial Agreement for all the acts and omissions of each subcontractor as if they were its own; and
1.7.4 ensure that all persons authorised by the Supplier or any subcontractor to process personal data are subject to a binding written contractual obligation to keep any personal data confidential.
1.8 The Supplier shall maintain, in accordance with the provisions of the 1988 Act and the GDPR binding on the Supplier, written records of all categories of processing activities carried out on behalf of the Customer.
1.9 The Supplier shall not, without prior written notice to the Customer, transfer personal data that it processes on the Customer’s behalf to countries outside the UK or the European Economic Area.
Your individual rights

- the right to restrict processing;
- the right to data portability;
- the right to object; and
- the right not to be subject to automated decision-making, including profiling.
You also have the right to complain to the ICO [www.ico.org.uk] if you feel there is a problem with the way we are handling your data.
We handle subject access requests in accordance with the GDPR.
THIRD-PARTY SITES
This site operates an interactive transaction service involving transmission of payment information to a third party’s site, and this site may also allow you to link to or from other third-party sites (the “other sites”). Synel does not operate or control the products or services offered by the other sites. Synel does not review, endorse or approve the other sites and is not responsible for any other sites. You agree that linking to or using other sites is at your sole risk and that Synel will not be responsible or liable for any damages arising from linking to or use of the other sites. All rules, policies (including privacy policies) and operating procedures of other sites will apply to you while on those sites, and Synel will not be responsible for information provided to you on the other sites.
NO UNLAWFUL OR PROHIBITED USE
You agree not to introduce into or through the site any information or material which may be harmful to others. You warrant that information or material that you provide to the site electronically through your access to or use of the site does not infringe the rights of any person or entity. Without limiting the generality of the foregoing, you shall not:
- interfere with or disrupt the site or computer network(s) connected thereto;
- impersonate any other person or entity or make any misrepresentation;
- upload, post, transmit, publish or distribute any material or information to the site which contains a computer virus or other code, files or programs intended in any manner to disrupt or interfere with the functioning of the site;
- use the site in such a manner as to gain unauthorized entry or access to the computer systems or networks of others, or attempt to gain unauthorized entry or access to any password-protected or restricted areas of the site or Synel computer or network systems;
- violate any law or regulation or any generally accepted internet practice or interfere with any other site user’s ability to use the site and any of the services or products provided on the site;
- forge, alter or modify in any way any of the agreements, policies or other information posted or accessible on the site;
- transmit any message, information, data, text, software or images, or other content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, or otherwise objectionable and that may invade another’s right of privacy or publicity;
- use the site’s communication features in a manner that adversely affects the availability of its resources to other users (e.g., excessive shouting, use of all caps, or flooding continuous posting of repetitive text);
- post or transmit any unsolicited advertising, promotional materials, “junk mail”, “spam,” “chain letters,” “pyramid schemes” or any other form of solicitation;

- use all names, marks, brands, logos, designs, trade dress, slogans and other designations Synel uses in connection with its products and services. Remove or alter any Synel trademarks, or co-brand your own products or material with Synel trademarks, without Synel’s prior written consent. Incorporate any Synel trademarks into your trademarks, service marks, company names, internet addresses, domain names, or any other similar designations, for use on or in connection with computer or internet-related products, services or technologies.
APPLICABLE LAW
The site and the agreement will be governed by and shall be construed in accordance with the Israeli Law, and the city of Tel – Aviv shall have an exclusive jurisdiction over all disputes arising hereunder or in connection with the subject hereof, without regard to conflict of law principles. Therefore, Any claims, disputes or legal proceedings arising out of or in connection with the site or the agreement shall be brought solely in the courts of the province of Tel-Aviv. By accessing or using the site, you expressly submit to the exclusive jurisdiction of those courts, without regard to the conflict of laws principles thereof, to determine any claim, action or proceeding arising out of or in connection with the site and the agreement. You and Synel require that this agreement and all documents relating thereto be drawn-up in English.
GENERAL
Except for any agreements with Synel that expressly reference this agreement, this is the entire agreement between Synel and you, regarding your use of the site. Synel’s failure to insist upon or enforce any provision of the agreement shall not be considered a waiver of such provision or of the right to enforce such provision. If any part of the agreement is determined to be void, invalid or unenforceable, the remaining parts will not be affected and will remain in full force and effect. To the extent that anything in or associated with the site is in conflict or inconsistent with the agreement, the agreement shall take precedence.
THIRD-PARTY BENEFICIARY
Nothing in this agreement, express or implied, is intended to confer upon any third party any rights, remedies, obligations, or liabilities under or by reason of this agreement, except as expressly provided in this agreement.
USE OF “COOKIE” FILE FEATURES
Synel reserves the right to store information on a user’s computer in the form of a “cookie” or similar file for purposes of modifying the site to reflect users’ preferences.
